Publishing Concepts, LP (“PCI”), may, through contracts with our Clients, access, receive, transmit or maintain information regarding Client constituents and related information (collectively, “Client Data”) on behalf of our Clients or their constituents, employees, or agents. PCI reserves the right to change this Privacy at any time.
- Confidentiality and Use. PCI agrees (i) to strictly maintain the confidentiality of all Client Data, and to safeguard Client Data from unauthorized access at least to the same extent as it would safeguard its own confidential information; and (ii) that neither PCI, its employees, its subcontractors nor their employees shall disclose or permit the disclosure or distribution of Client Data to any third party, except as required to perform services under a Client contract (“Services”) or otherwise required by law. PCI shall not contact any constituent or other individual associated with Client directly through email or other means other than as required to perform the Services, nor shall PCI cooperate with any third party to contact such constituents or such other individuals directly by email for advertising purposes. Upon termination of the relevant Client contract, PCI shall return or destroy Client Data at Client’s request. In the event that PCI enters into any change of control, asset sale, or similar transaction, all data and rights related to the Services, including Client Data, may be disclosed or transferred in connection with the contemplation or consummation of such transaction.
- Security. To protect Client Data from unauthorized access by third parties PCI shall utilize reasonable security procedures and policies, including network segmentation, encryption, and intrusion prevention. If PCI becomes aware of a security breach related to Client Data, PCI shall (i) promptly notify the affected Client(s); (ii) take prompt action to mitigate any harm flowing from such breach; and (iii) take prompt action to prevent any further breaches from occurring, including, where appropriate, the installation of appropriate software patches.
- FERPA. PCI acknowledges that, for Clients that are educational institutions, they are subject to legal obligations with respect to the privacy of student information. PCI acknowledges that Client Data may include personally identifiable student educational records (“Educational Records”), as such term is defined under the Family Educational Rights and Privacy Act (“FERPA”). To the extent that the Client Data includes Educational Records, PCI agrees that it and its subcontractors shall comply fully with and be bound by FERPA, the Federal regulations promulgated thereunder, and Client’s FERPA policies to the same extent as if PCI, its employees, its subcontractors and their employees were educational officials for purposes of such law, regulations and policies. PCI shall take all steps reasonably necessary to protect the privacy and confidentiality of all Educational Records.
